For ecosystem, community, connector, and domain leads

1. Role
Lead will support the assigned AI Insiders vertical as described in the applicable role brief, which may include identifying high-quality participants, speakers, sponsors, collaborators, hosts, or content opportunities; providing domain context; supporting curation; and representing AI Insiders professionally. Lead has no authority to bind AI Insiders, promise acceptance, quote binding commercial terms, sign agreements, make investment commitments, or represent that AI Insiders has endorsed any person or organization.
2. Independent Contractor / Volunteer Status
Unless a separate written compensation agreement states otherwise, Lead participates as an independent collaborator and not as an employee, agent, partner, fiduciary, franchisee, or joint venturer. Lead controls the manner and timing of voluntary relationship-building activities, subject to brand, confidentiality, legal, and conduct requirements.
3. Referrals and Attribution
Lead should route sponsor, speaker, and strategic referrals through the approved AI Insiders process so attribution, conflicts, quality control, and commercial discussions can be managed consistently. Lead may not bypass AI Insiders to appropriate opportunities, participant lists, confidential sponsor information, or introductions obtained primarily through the role.
4. Compensation / Revenue Share
Any commission, revenue share, referral fee, stipend, or reimbursement must be set out in a separate written schedule approved by AI Insiders. No compensation is earned merely by mentioning a prospect. If a schedule applies, it should define attribution, eligible revenue, exclusions, payment timing, refunds/chargebacks, taxes, and what happens after termination. No compensation may be structured in a manner that violates securities, anti-kickback, lobbying, procurement, or other applicable laws.
5. Confidentiality and Data
Lead will protect nonpublic member, attendee, sponsor, pipeline, pricing, strategy, event, and operational information and will use it only for authorized AI Insiders purposes. Lead may not export or retain participant data after it is no longer needed, upload it to unapproved tools, or use it for independent lead generation without permission.
6. Brand and Communications
Lead may accurately identify the approved role during the term. Use of AI Insiders logos, event marks, decks, templates, mailing lists, or official channels must follow brand guidance. Public statements on behalf of AI Insiders, press comments, sponsorship pricing, political positions, or crisis communications require prior authorization.
7. Conflicts and Conduct
Lead will disclose material conflicts that could affect curation, sponsorship, speaker selection, procurement, or recommendations. Lead will comply with the AI Insiders Community Standard, anti-harassment expectations, advertising-disclosure rules, and applicable law.
8. Work Product
AI Insiders owns materials created specifically at its request and paid for by it if the applicable statement of work so provides. Otherwise, each party retains its pre-existing materials. Lead grants AI Insiders permission to use routine operational contributions, event plans, curated lists created within approved systems, and role-related deliverables for AI Insiders purposes.
9. Term and Termination
Either party may end the role at any time by written notice. AI Insiders may immediately suspend role access for safety, security, confidentiality, misconduct, misrepresentation, conflicts, or material policy violations. On termination, Lead will stop using role titles and brand assets and return or delete confidential information as requested, subject to lawful recordkeeping.
10. Governing Law
California law governs. Venue lies in San Francisco County, California.
11. Commissioned Work Product and Background Materials
To the extent a written compensation schedule or statement of work expressly identifies materials as commissioned work product for Marvelous, Lead hereby assigns to Marvelous all right, title, and interest in such commissioned work product, including associated intellectual property rights, upon creation, excluding Lead Background Materials. To the extent any Lead Background Materials are embedded in commissioned work product, Lead grants Marvelous a perpetual, worldwide, royalty-free, transferable and sublicensable license to use those materials as necessary to use, modify, distribute, commercialize, and maintain the commissioned work product.
Lead retains ownership of pre-existing know-how, personal brand, independent writings, trademarks, and other background materials not created specifically as commissioned work product. Nothing permits Lead to use AI Insiders marks, confidential data, participant information, or sponsor information outside the authorized role.
12. AI, Data, Access, and Offboarding
Lead may not upload confidential AI Insiders, sponsor, member, attendee, or applicant information into unapproved AI systems; scrape or export restricted directories; or use role access to build a competing contact graph or dataset. On role end, Lead must stop using role credentials and return or delete confidential exports and restricted data in Lead's control.
