1. Agreement Structure
This Sponsorship & Strategic Partnership Agreement ("Agreement") is between Marvelous United, Inc., operating AI Insiders ("AI Insiders"), and the sponsoring or partnering organization identified in the signature block ("Partner"). Each signed order form, proposal, or statement of work referencing this Agreement ("Order Form") becomes part of the Agreement.
2. Deliverables
AI Insiders will provide the deliverables stated in the applicable Order Form, which may include event branding, passes, speaking opportunities, activations, content, hospitality, introductions, media placement, reports, or other benefits. Unless expressly guaranteed in the Order Form, audience size, individual attendance, speaker participation, press coverage, introductions, lead volume, sales, investment, or commercial outcomes are estimates or objectives, not guaranteed results.
3. Fees, Taxes, and Payment
Partner will pay the fees and applicable taxes stated in the Order Form. Unless the Order Form states otherwise, invoices are due within 15 days and are non-cancellable once material production, commitments, venue obligations, media production, or third-party costs have begun. Late amounts may accrue lawful collection costs and interest at the lesser of 1.0% per month or the maximum rate permitted by law.
4. Brand and Content Rights
Each party retains its pre-existing intellectual property. Partner grants AI Insiders a non-exclusive, limited, worldwide license during the campaign term to use Partner's approved names, logos, marks, and supplied materials solely to perform and promote the agreed partnership. AI Insiders grants Partner a limited, non-transferable right to use approved AI Insiders marks solely as expressly authorized. Neither party may materially alter the other party's marks or imply a broader endorsement or relationship.
5. Attendee and Member Data
No general attendee, member, or speaker contact list is included unless an Order Form expressly describes a lawful, consent-based data-sharing program. Partner may collect information directly from individuals who voluntarily engage with a Partner activation, subject to Partner's own privacy notices and applicable law. AI Insiders may provide aggregated, de-identified, campaign, or opt-in lead information where appropriate. Partner must not scrape, enrich, match, purchase, or otherwise attempt to identify restricted participant information from AI Insiders systems or event materials.
6. Speaking and Editorial Independence
Paid partnership does not buy editorial conclusions, investment recommendations, private member data, guaranteed speaker statements, or control over AI Insiders editorial or curation decisions. Sponsored content or material connections will be disclosed where required by law or platform rules. AI Insiders may reject claims, creative, speakers, or activations that present legal, safety, reputational, or factual risk.
7. Compliance
Each party will comply with applicable advertising, privacy, anti-bribery, sanctions, intellectual-property, employment, accessibility, venue, and event laws. Partner is responsible for the accuracy and substantiation of claims about its own products or services and for required disclosures by influencers, employees, or representatives acting on its behalf.
8. Confidentiality
Each party will protect nonpublic business, pricing, strategy, customer, member, technical, and other confidential information received from the other party using reasonable care and will use it only for the partnership. Standard exclusions apply for public, independently developed, previously known, or lawfully third-party information. Required legal disclosures are permitted with prompt notice where lawful.
9. Cancellation, Force Majeure, and Event Changes
If an event is materially changed, postponed, or cancelled due to circumstances beyond reasonable control, the parties will cooperate in good faith to apply undelivered value to a rescheduled event, substitute deliverables, or another mutually agreed program. Cash refunds, if any, are governed by the Order Form and do not include nonrecoverable third-party costs already incurred for Partner.
10. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its breach of this Agreement, infringement by materials it supplies, unlawful advertising claims, or negligence or willful misconduct. Indemnification procedures require prompt notice, control of defense by the indemnifying party, and reasonable cooperation, subject to conflicts and settlement protections.
11. Limitation of Liability
Except for confidentiality breaches, infringement, indemnification obligations, fraud, willful misconduct, unpaid fees, or liability that cannot legally be limited, neither party is liable for indirect, consequential, special, exemplary, or punitive damages. Each party's aggregate liability under an Order Form will not exceed the fees paid or payable under that Order Form during the 12 months preceding the claim.
12. Independent Parties
The parties are independent contractors. This Agreement does not create a partnership, joint venture, fiduciary relationship, franchise, agency, or employment relationship. Neither party may bind the other without written authority.
13. Publicity
Except for agreed sponsorship identification and approved campaign materials, neither party may issue a press release or use the other party's name in a case study, testimonial, fundraising communication, or materially broader publicity without written approval, not to be unreasonably withheld where the use accurately describes the relationship.
14. Term and Termination
The Agreement continues while an Order Form remains active. Either party may terminate for material breach not cured within 10 days after written notice, or immediately for fraud, illegality, sanctions risk, material safety risk, or serious reputational harm. Accrued payment, confidentiality, IP, data protection, disclaimers, indemnity, liability, and dispute terms survive.
15. Governing Law
California law governs. Exclusive venue lies in San Francisco County, California, unless an Order Form expressly states otherwise.

14. Data, Lead, and Editorial Boundaries
Sponsorship does not include an attendee list, member directory, personal contact data, private-room transcript, applicant data, or unrestricted lead file unless an applicable Order Form expressly describes a lawful, consent-based data flow. Sponsor may receive aggregated reporting and leads who affirmatively opt in to the applicable sponsor interaction.
Sponsorship does not buy admission decisions, editorial conclusions, speaker statements, rankings, investment consideration, favorable research, guaranteed introductions, guaranteed media coverage, guaranteed sales, or guaranteed return on investment. AI Insiders retains final control over curation, safety, editorial treatment, room rules, and participant privacy.
15. Sponsor Brand and AI Restrictions
Sponsor may use AI Insiders marks only within the approved campaign scope and brand guidance. Sponsor may not scrape participant data, use restricted event or member content to train models or build external profiles, run facial recognition or voice identification on participants, or deploy recording or AI note-taking systems in private sessions without written approval and required consent.
