1. Membership Relationship

This Membership Agreement is between Marvelous United, Inc., operating AI Insiders, and the approved member ("Member"). Membership is a limited, revocable, personal right to participate in designated AI Insiders programs and does not create equity, employment, partnership, agency, fiduciary duty, investment rights, or ownership in AI Insiders or Marvelous United, Inc.

2. Membership Is Curated and Non-Transferable

Membership is personal and non-transferable. Credentials, invitations, member-only information, and benefits may not be sold, shared, sublicensed, or transferred. Continued membership may depend on compliance, payment where applicable, program fit, safety, and community standards.

3. AI Insiders Standard

Respect confidentiality and room-specific attribution rules.
Do not scrape, export, sell, or mass-solicit the member directory or attendee lists.
Use introductions thoughtfully; no spam, deceptive outreach, or pressure tactics.
Disclose material conflicts and commercial incentives when relevant.
Do not imply that AI Insiders endorses your company, product, investment, candidacy, fundraising, or views unless authorized in writing.
Respect intellectual property, privacy, boundaries, and applicable laws.
No harassment, discrimination, threats, retaliation, or conduct that materially undermines member safety or trust.

4. Confidential Information

Member may receive nonpublic information belonging to AI Insiders or other participants. Member will use reasonable care to protect information clearly identified as confidential or that a reasonable person would understand to be confidential in context. Confidential Information does not include information that becomes public through no breach; was lawfully known without restriction; is received lawfully from a third party without duty; or is independently developed without use of the Confidential Information. Room-specific confidentiality instructions may impose stricter restrictions and will control for that session.

5. Directory and Introductions

Member-directory access is for relationship-building within the intended community context. Member may not harvest, download, enrich, resell, publish, or use directory information for bulk marketing, recruiting, lead generation, data brokerage, or automated outreach without permission. Introductions are not endorsements or guarantees.

6. Content and Contributions

Member retains ownership of original materials contributed by Member unless separately agreed. By voluntarily submitting comments, quotes, feedback, or community content for publication, Member grants AI Insiders the permission stated at the time of submission. Featured talks, interviews, podcasts, recordings, or commissioned content should use a separate release or content agreement.

7. Fees and Renewal

If a paid membership tier is offered, price, term, renewal, cancellation, benefits, and refund rules will be presented before purchase. Any automatic renewal will be implemented only with the disclosures, affirmative consent, acknowledgments, reminders, and cancellation methods required by applicable law.

8. Suspension and Termination

AI Insiders may suspend or terminate membership for material breach, safety concerns, harassment, fraud, misuse of confidential information or member data, nonpayment, legal risk, or conduct materially inconsistent with the Community Standard. Where practical, AI Insiders may investigate and provide an opportunity to respond, but immediate action may be taken to protect people, systems, or the integrity of the network.

9. Disclaimers and Liability

AI Insiders does not guarantee introductions, deals, capital, sales, employment, attendance, speaking opportunities, visibility, or other outcomes. To the maximum extent permitted by law, liability limitations in the Website Terms of Use apply to membership, except where this Agreement expressly states otherwise or law prohibits limitation.

10. Governing Law

California law governs this Agreement. Venue lies in San Francisco County, California, unless the parties enter a separate written dispute-resolution agreement.

11. AI, Directory, and Relationship-Graph Restrictions

Member may not scrape, bulk export, enrich, resell, publish, or reconstruct the member directory, attendee data, relationship graph, private-room content, or introductions using automation, third-party enrichment vendors, AI systems, embeddings, retrieval pipelines, or other systematic methods. Member may not use restricted community materials to train, fine-tune, evaluate, or ground a model or competing relationship-intelligence product without Marvelous United, Inc.'s written permission.

Member may not share credentials or provide a third-party agent or service with access to member-only systems except through an integration expressly approved by AI Insiders.

12. Reacceptance, Access Revocation, and Offboarding

AI Insiders may require reacceptance after material changes to member terms or data practices. On suspension or termination, Member must stop using member-only data, return or delete confidential exports in Member's control, and cease use of member-only marks, badges, or access credentials except as expressly permitted in writing.
